By using the platform, you agree to these Terms.

1. Nature of Platform

ContractGen is a technology-enabled document workflow and facilitation platform.

ContractGen:

• Facilitates document coordination and submission
• Connects users with independent partner law firms and licensed notaries public
• Does not provide notarization services
• Does not provide legal advice or legal representation
• Does not act as a law firm or notary public

All notarization activities are conducted solely by licensed professionals.

2. Eligibility

You must:

• Be at least 18 years old
• Have legal capacity to enter agreements
• Provide accurate and truthful information

3. User Responsibilities

You agree to:

• Submit authentic and lawful documents
• Avoid fraudulent or illegal activity
• Cooperate with identity verification procedures
• Ensure all uploaded information is accurate

You are solely responsible for the legality and validity of your submitted documents.

4. No Guarantee of Approval

Submission through ContractGen does not guarantee:

• Acceptance of documents
• Successful notarization
• Processing timelines
• Legal validity of documents

Partner law firms and licensed notaries reserve the right to reject requests in accordance with applicable laws and ethical obligations.

5. Fees and Payments

Users agree to pay applicable processing, facilitation, courier, verification, and partner service fees.

All payments are generally non-refundable once processing has commenced, except where required by law.

6. Electronic Communications

By using the platform, you consent to receiving:

• Emails
• SMS notifications
• Platform alerts
• Electronic records and communications

7. Intellectual Property

All platform content, branding, software, workflows, and materials are owned by ContractGen unless otherwise stated.

You may not copy, reverse engineer, distribute, or exploit platform content without written permission.

8. Prohibited Activities

Users may not:

• Upload forged or fraudulent documents
• Impersonate another person
• Use the platform for unlawful purposes
• Interfere with platform operations or security
• Attempt unauthorized access to systems or data

9. Limitation of Liability

To the maximum extent permitted by law, ContractGen shall not be liable for:

• Indirect or consequential damages
• Lost profits or opportunities
• Decisions of partner law firms or notaries
• Delays, interruptions, or technical failures
• Errors in submitted documents
• Legal disputes arising from document content or transactions

The platform is provided on an “as is” and “as available” basis.

10. Indemnification

You agree to defend, indemnify, and hold harmless ContractGen, its affiliates, officers, employees, contractors, and partners from claims, damages, liabilities, and expenses arising from:

• Your misuse of the platform
• Violations of these Terms
• Fraudulent or unlawful submissions
• Third-party disputes related to your documents

11. Suspension and Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Present fraud or security risks
• Engage in abusive or unlawful activity

12. Governing Law

These Terms shall be governed by the laws of the Republic of the Philippines.

Any disputes shall be subject to the proper courts located in the Philippines.

13. Amendments

ContractGen may modify these Terms at any time without prior notice.

Continued use of the platform constitutes acceptance of updated Terms.
